Legal
Terms of Service
Important
These Terms of Service govern access to and use of the High Stitch platform, a business-to-business (B2B) software-as-a-service product. These Terms do not apply to consumers. If you are accessing High Stitch on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
1. Introduction and Acceptance
High Stitch Tech Inc. (“High Stitch,” “we,” “us,” or “our”) is a Florida corporation that develops and operates a Shopify-native B2B SaaS platform for managing embroidery, engraving, printing, and embossing customization orders for fashion and lifestyle brands (“the Platform” or “the Service”).
By creating an account, accessing, or using the Service, you (“Merchant,” “Customer,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Service.
These Terms constitute a legally binding agreement between you and High Stitch. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Eligibility and Age Requirement
The Service is intended solely for use by businesses and business professionals. By accessing the Service, you represent and warrant that:
- You are at least 13 years of age;
- You are using the Service on behalf of a business entity, not as an individual consumer;
- You have the legal authority to enter into binding contracts on behalf of the entity you represent;
- Your use of the Service does not violate any applicable law or regulation.
Because High Stitch is a B2B platform, we do not knowingly collect information from or direct services to individuals under the age of 13. If we learn that a user under 13 has provided personal information, we will take steps to delete that information.
3. Territorial Scope and Geographic Exclusions
3.1 EU, UK, EEA, Switzerland, Norway, and Iceland
This does not apply to consumers in the EU, UK, Switzerland, Norway, or Iceland. High Stitch is a B2B SaaS platform and does not direct its services to consumers in these territories. Merchants established in or serving customers in these jurisdictions are responsible for ensuring their own use of the Platform complies with applicable law, including GDPR and UK GDPR obligations.
Merchants in the EEA, UK, Switzerland, Norway, or Iceland may be subject to additional data processing terms. Please contact us to request a Data Processing Agreement (“DPA”) if required for your jurisdiction.
3.2 Brazil
This does not apply to consumers in Brazil. Merchants established in Brazil or serving end-consumers in Brazil are responsible for compliance with the Lei Geral de Proteção de Dados (LGPD) and any other applicable Brazilian law. High Stitch does not direct its services to Brazilian consumers.
3.3 Switzerland — Consumer Exception
Notwithstanding any other provision of these Terms, mandatory consumer protection provisions of Swiss law apply to any natural person accessing the Service in Switzerland for purposes outside their trade or profession. Such individuals retain all rights afforded to them under applicable Swiss mandatory law, and nothing in these Terms shall be construed to limit those rights.
3.4 General Consumer Exception (All Jurisdictions)
Nothing in these Terms is intended to, nor shall it operate to, exclude, restrict, or modify any right or remedy that a consumer may have under applicable mandatory consumer protection legislation in their jurisdiction. Where applicable mandatory law provides greater protections than these Terms, such mandatory law will prevail to the extent of any inconsistency.
4. Description of the Service
High Stitch provides a Shopify-native software platform that enables fashion and lifestyle brands and their fulfillment partners to manage, route, and track customization production orders, including embroidery, engraving, screen printing, and embossing services.
Core features include, but are not limited to:
- Customization order intake and routing from Shopify storefronts
- Production-ready file management including DST and digitizing file workflows
- 3PL and fulfillment partner coordination tools
- Order tracking and status management
- Brand and SKU-level customization configuration
The Platform is provided as a subscription service. Specific features and availability may vary by subscription tier. High Stitch reserves the right to modify, update, or discontinue features with reasonable advance notice.
4A. Production Files and Production Outcomes
4A.1 Software and File Generation Only
High Stitch provides software and automated file-generation tools. High Stitch does not manufacture, embroider, engrave, print, emboss, cut, sew, store, package, or ship goods, and is not a party to any production, fulfillment, or sales transaction between Merchant and its production partners, fulfillment partners, or end-customers.
4A.2 Merchant Responsibility for Production Files
“Production Files” means any digitizing file (including DST files), SVG file, artwork, vector file, proof, mockup, stitch or print specification, placement, sizing, color, thread, or material instruction, or other production instruction generated through, uploaded to, or transmitted via the Platform. Merchant is solely responsible for reviewing, testing, and approving every Production File before releasing it for production, regardless of whether the file was created by Merchant, by a third party, or with tools provided through the Platform.
4A.2A Generated Files
The Platform may automatically generate SVG, DST, and other production files (“Generated Files”) from artwork, text, fonts, images, and settings supplied by Merchant or its end-customers (“Inputs”). Generated Files are automated outputs. Their accuracy depends on the Inputs and the settings selected, and they are provided as a tool within Merchant’s production workflow, not as a guarantee of a production-ready result. High Stitch does not provide manual digitizing review, quality assurance, or production engineering unless expressly agreed in writing. High Stitch does not warrant that any Generated File will be compatible with, or run correctly on, any machine, software version, or material. Merchant must review each Generated File and its preview, or elect automatic approval and accept the associated risk as described in Section 4A.3, and must complete a test run on the actual materials and equipment before any production run.
4A.2B Inputs and Fonts
Merchant is solely responsible for the content, quality, resolution, and legal rights associated with all Inputs, including any license required for fonts, logos, and artwork, and for any defect in a Generated File that results from an Input, whether or not Merchant supplied it directly.
4A.3 Approval Settings and Merchant Election
The Platform allows Merchant to choose between (a) manual approval, in which Generated Files and Production Files are held for Merchant’s review and are released to production only after Merchant approves them, and (b) automatic approval, in which files are released to production without individual review. Merchant selects and controls this setting and may change it at any time.
Manual approval. Where manual approval is selected, Merchant’s approval, release, or transmission of a file constitutes acceptance of that file in its entirety.
Automatic approval. Where automatic approval is selected, Merchant expressly elects to release all files to production without individual review, and such release constitutes Merchant’s approval and acceptance of each file so released, as if Merchant had manually reviewed and approved it. Merchant acknowledges that automatic approval increases the risk of production errors, that no High Stitch personnel review files released under this setting, and that Merchant assumes all resulting risk and responsibility.
Both modes. In either mode, High Stitch has no obligation to verify the accuracy, suitability, or production-readiness of any file. Merchant is responsible for selecting the approval setting appropriate for its business and for the consequences of that selection.
4A.3A Auto-Approval Safeguards
Merchant using automatic approval agrees to (i) complete a test run on representative materials and equipment before enabling it and after any material change to fonts, artwork, materials, machines, or product configuration, and (ii) monitor early production output.
4A.4 Pre-Production Testing
Merchant acknowledges that production results depend on factors outside High Stitch’s control, including fabric, stabilizer, hooping, machine make, model, and condition, needles, thread, tension, software version, and operator skill. Merchant agrees to conduct a sample or test run on representative materials before any production run. High Stitch does not warrant that any Production File will run correctly on any equipment or material, or produce any particular result.
4A.5 Damaged, Defective, or Nonconforming Goods
HIGH STITCH IS NOT RESPONSIBLE OR LIABLE FOR ANY DAMAGE TO, OR LOSS, DEFECT, MISPRODUCTION, OR NONCONFORMITY OF, ANY GOODS, GARMENTS, BLANKS, TEXTILES, OR OTHER MATERIALS (WHETHER OWNED BY MERCHANT, AN END-CUSTOMER, OR A THIRD PARTY) ARISING FROM OR RELATED TO ANY PRODUCTION FILE OR PRODUCTION PROCESS. THIS INCLUDES PUCKERING, THREAD BREAKS, MISREGISTRATION, INCORRECT PLACEMENT OR SCALE, TEXT OR SPELLING ERRORS, COLOR VARIANCE, AND DENSITY-RELATED DISTORTION. THIS APPLIES WHETHER OR NOT THE PRODUCTION FILE WAS GENERATED USING THE PLATFORM. MERCHANT BEARS ALL RISK OF LOSS FOR GOODS AND MATERIALS USED IN PRODUCTION.
4A.6 Third-Party Production and Fulfillment Partners
Production and fulfillment partners are independent third parties. High Stitch does not control, supervise, vet, or guarantee them, and is not liable for their acts or omissions, including production quality, turnaround time, damage or loss of goods, or shipping errors. Any dispute with such a partner is between Merchant and that partner.
4A.7 Order Data and Integrations
Order data received from Shopify or other integrations (including personalization text, options, SKUs, quantities, and addresses) originates from Merchant’s storefront and end-customers. High Stitch does not verify it and is not liable for errors, omissions, duplicate or missed orders, or sync delays caused by inaccurate source data, Merchant misconfiguration, third-party apps, or Shopify API changes or outages. Merchant is responsible for reviewing order data before release to production.
4A.8 Personalization Content
Merchant is solely responsible for the content of all personalization submitted through its storefront, including names, text, monograms, logos, and images, and for its legality, non-infringement, and appropriateness. High Stitch does not review personalization content and is not liable for claims arising from it.
4A.9 Previews
Digital previews, mockups, stitch simulations, and color swatches are approximations only. Actual output may differ due to thread dye lots, fabric, screen calibration, machine variation, and other factors, and previews are not a guarantee of the finished product.
4A.10 Notice of Claims
Merchant must notify High Stitch in writing of any claim that the Platform caused a production issue within 14 days of discovering it. To the extent permitted by law, failure to do so waives the claim.
4A.11 Remedy for Platform Errors
If a verified defect in the Platform’s file-generation functionality, as distinguished from an Input, a setting, or a file reviewed and approved by Merchant, results in a nonconforming Generated File, Merchant’s sole and exclusive remedy is, at High Stitch’s election, regeneration or correction of the affected file or a credit of fees paid for the affected period, in each case subject to Section 12.
5. Accounts and Access
To use the Service, you must create an account and connect your Shopify store through the Shopify Partner and App platform. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Immediately notifying High Stitch of any unauthorized access or breach
High Stitch is not liable for any loss arising from unauthorized use of your account where such use results from your failure to maintain reasonable security practices.
6. Acceptable Use
The Service is provided for lawful business purposes in connection with managing product customization orders. You agree to use the Service only in accordance with these Terms and all applicable laws.
6.1 Permitted Uses
You may use the Service to manage legitimate customization production workflows, integrate with your Shopify storefront, coordinate with authorized fulfillment partners, and access production-related data for your own business operations.
6.2 Prohibited Uses
Without limiting any other restriction in these Terms, you may not use the Service in ways that are illegal, harmful, deceptive, or abusive; that violate third-party rights; that circumvent Shopify’s platform policies; that disrupt or degrade the Service for other users; or that are outside the intended scope of a B2B customization order management platform.
High Stitch reserves the right to terminate or suspend access for any violation of this Section without prior notice.
7. Intellectual Property and Content Rights
7.1 High Stitch Platform — All Rights Reserved
The High Stitch platform, including all software, code, interfaces, documentation, workflows, digitizing logic, and branding (“High Stitch IP”), is the exclusive property of High Stitch Tech Inc. All rights reserved. Nothing in these Terms grants you any ownership, license, or interest in High Stitch IP beyond the limited right to access and use the Service as described herein.
© 2026 High Stitch Tech Inc. All rights reserved.
7.2 Your Content
You retain all ownership rights in any content, designs, brand assets, and data you upload or submit to the Platform (“Merchant Content”). By submitting Merchant Content, you grant High Stitch a limited, non-exclusive, royalty-free license to use, store, process, and display such content solely as necessary to provide the Service to you.
You represent and warrant that you have all rights, licenses, and permissions required to submit Merchant Content to the Platform and that such content does not infringe any third-party intellectual property rights.
7.3 Production Output Files
Digitizing files (including DST files and other production-ready formats) generated through or uploaded to the Platform for your account remain your property or the property of their respective owners. High Stitch does not claim ownership of production output files generated on your behalf. However, High Stitch may retain de-identified technical metadata related to file performance for platform improvement purposes.
7.4 Feedback
If you provide suggestions, ideas, or feedback regarding the Service, you grant High Stitch a perpetual, irrevocable, royalty-free right to use such feedback without obligation or compensation to you.
7A. Software Protection and Trial Access
7A.1 Copyright and Proprietary Rights
The Platform, including its software, source and object code, interfaces, workflows, file-generation and digitizing logic, algorithms, designs, documentation, and all related materials, is proprietary to High Stitch and protected by copyright, trade secret, and other intellectual property laws. The Platform is licensed to you, not sold. You receive only a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform for your own internal business operations, as permitted by these Terms.
7A.2 Restrictions
You will not, and will not permit or assist any other person to:
- copy, reproduce, replicate, or imitate the Platform or any part of it, or create any derivative work, competing product, or substantially similar service based on it;
- reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, file-generation or digitizing logic, or underlying structure of the Platform;
- share the Platform, your login credentials, or any non-public information about the Platform (including screenshots, screen recordings, interface designs, workflows, documentation, or demonstrations) with any developer, agency, contractor, or other third party for the purpose of replicating, recreating, or building a similar product or service;
- use the Platform, or any information obtained through it, to build or improve a competing product or service;
- sublicense, resell, rent, lease, or provide access to the Platform to any third party, except as expressly permitted in these Terms;
- remove or alter any copyright, proprietary rights, or confidentiality notice; or
- use scrapers, bots, crawlers, or other automated means to extract data, content, or functionality from the Platform, other than through interfaces High Stitch provides for that purpose.
7A.3 Personnel and Contractors
You may allow your employees and contractors to access the Platform only where they need access to use it for your internal business operations, and only if they are bound by written obligations at least as protective of High Stitch as these Terms. You are responsible for any act or omission of any person who accesses the Platform through you, or with information you provide, as if it were your own.
7A.4 Trial and Extended Trial Access
If High Stitch gives you trial, pilot, early-access, or extended-trial access to the Platform (“Trial Access”):
- Trial Access is provided solely so you can evaluate the Platform for your internal business purposes, for the period and on the terms High Stitch communicates to you in writing;
- these Terms, including this Section 7A and Sections 4A, 10, 11, 12, and 13, apply in full to Trial Access;
- Trial Access is provided “as is,” and High Stitch may suspend or end it immediately if you breach Section 6 or this Section 7A;
- features available during Trial Access may be pre-release or incomplete and may change before general release, and High Stitch does not promise any feature, pricing, or continued access beyond the trial period; and
- when Trial Access ends, your right to use the Platform ends unless you subscribe to a paid plan, and Section 14 governs the export of your Merchant Content.
7A.5 Non-Public Information
Non-public features, pre-release functionality, interfaces, documentation, pricing, and product plans that High Stitch shows or provides to you, including during any Trial Access, are High Stitch’s Confidential Information under Section 10 and are subject to the restrictions in this Section 7A, whether or not marked confidential.
7A.6 Remedies
You acknowledge that a breach of this Section 7A could cause High Stitch harm for which money damages would not be an adequate remedy. In addition to any other remedy, High Stitch may seek injunctive or other equitable relief for any actual or threatened breach, without the need to post a bond to the extent permitted by law, and may immediately suspend or terminate your access.
7A.7 Reservation of Rights
High Stitch reserves all rights not expressly granted in these Terms. No license or right arises by implication, estoppel, or otherwise.
8. Fees, Billing, and Subscription
Access to the Service is subject to applicable subscription fees as set out in your order form or the Shopify App Store billing flow. All fees are billed through Shopify’s billing infrastructure unless otherwise agreed in writing.
- Fees are due in advance for each billing period
- All fees are non-refundable except as expressly stated in these Terms or required by applicable law
- High Stitch reserves the right to change pricing upon at least 30 days’ advance notice
- Failure to pay may result in suspension or termination of access
If you are subscribed to a paid plan, you may request to downgrade to a lower-tier subscription at any time. However, the downgrade will not take effect until the end of your current billing cycle or renewal period, as applicable. Your existing subscription, including all associated features and billing obligations, will remain in effect until the downgrade becomes effective.
9. Data, Privacy, and Security
Your use of the Service involves the collection and processing of data relating to you, your business, and potentially your end-customers. High Stitch’s collection, use, and handling of such data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Please review our Privacy Policy carefully before using the Service. The Privacy Policy describes: what data we collect, how we use it, how long we retain it, and your rights regarding your data.
You acknowledge and agree that, as a Shopify app, High Stitch may receive and process certain merchant data and end-customer data through Shopify’s APIs in connection with providing the Service. You are responsible for ensuring that your use of the Service, and your disclosure of end-customer data to High Stitch, complies with applicable privacy law and your own privacy policy.
Merchants who require a Data Processing Agreement (DPA) for GDPR, UK GDPR, or other regulatory purposes should contact High Stitch to request one before using the Service for data subject to those frameworks.
10. Confidentiality
Each party may receive confidential information of the other party in connection with these Terms (“Confidential Information”). Each party agrees to: (i) hold Confidential Information in strict confidence; (ii) not disclose Confidential Information to third parties without prior written consent; and (iii) use Confidential Information solely as necessary to perform under these Terms.
Confidential Information does not include information that is or becomes publicly known through no breach of these Terms, was rightfully known before disclosure, or is required to be disclosed by law or court order (in which case the receiving party will provide prompt notice to the extent permitted).
11. Disclaimer of Warranties
Applicable to US users and others where permitted by law
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIGH STITCH EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
HIGH STITCH DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) ANY PRODUCTION FILE, GENERATED FILE, DIGITIZING FILE, PREVIEW, OR ORDER DATA WILL BE FREE OF ERRORS, COMPATIBLE WITH ANY MACHINE OR MATERIAL, OR PRODUCE ANY PARTICULAR RESULT.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above limitations may not apply to you. In those jurisdictions, High Stitch’s liability shall be limited to the greatest extent permitted by applicable law.
12. Limitation of Liability
Applicable to US users and others where permitted by law
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HIGH STITCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, THE COST OF SUBSTITUTE SERVICES, THE COST OF GOODS, BLANKS, GARMENTS, OR MATERIALS, REWORK OR REPLACEMENT, REFUNDS, CHARGEBACKS, SHIPPING, LABOR, MACHINE TIME, OR CLAIMS BY END-CUSTOMERS OR BY PRODUCTION OR FULFILLMENT PARTNERS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF HIGH STITCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIGH STITCH’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO HIGH STITCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100.00).
The limitations in this Section reflect a fair allocation of risk between the parties and are a fundamental element of the basis of the bargain between the parties. High Stitch would not provide the Service without these limitations.
13. Indemnification
Applicable to B2B / digital product users
You agree to indemnify, defend, and hold harmless High Stitch and its officers, directors, employees, agents, contractors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

- Your violation of any applicable law or third-party right

Applicable to US users: The above indemnification obligations apply to the fullest extent permitted by applicable law. Nothing in this Section limits any defense or right available to you under applicable law.
14. Term and Termination
These Terms are effective from the date you first access the Service and continue until terminated. Either party may terminate these Terms:
- By providing written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of written notice
- Immediately upon written notice if the other party becomes insolvent, ceases to operate, or is subject to insolvency proceedings
High Stitch may suspend or terminate your access immediately for: violation of the Acceptable Use Section, non-payment, or any use of the Service that High Stitch reasonably determines creates legal, security, or reputational risk.
Upon termination: (i) all rights granted to you under these Terms will immediately cease; (ii) you must cease all use of the Service; and (iii) High Stitch will make your Merchant Content available for export for a period of 30 days following termination, after which it may be deleted. Sections 4A, 7, 7A, 9, 11, 12, 13, 15, 16, and 17 survive termination.
15. Governing Law and Dispute Resolution
15.1 Governing Law

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
15.2 Jurisdiction
Any dispute arising out of or relating to these Terms or the Service that is not resolved through informal negotiation shall be submitted to the exclusive jurisdiction of the state and federal courts located in Florida, United States. You consent to the personal jurisdiction of such courts.
15.3 Exception for Mandatory Local Law
Notwithstanding the above, if you are a consumer (as defined under applicable law in your jurisdiction) and applicable mandatory law requires that disputes be governed by the law of your country of residence, or that disputes be resolved in the courts of your country of residence, those mandatory provisions will apply to the extent they cannot be excluded by agreement.
15.4 Exception for Swiss Consumers
Notwithstanding Section 15.1 and 15.2, if you are a consumer domiciled in Switzerland accessing the Service for non-commercial purposes, Swiss law and Swiss courts may have mandatory jurisdiction over disputes between us to the extent required by Swiss mandatory law, including the Swiss Code of Obligations and applicable consumer protection provisions.

16. Severability
16.1 General Severability (US-Type Documents)
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
16.2 Severability — EU and Civil Law Jurisdictions
To the extent these Terms are interpreted under the laws of any EU Member State, the United Kingdom, Switzerland, or any other civil law jurisdiction, any provision found to be contrary to mandatory applicable law shall be deemed replaced by such mandatory provision, and the remaining provisions shall remain valid and enforceable to the fullest extent permitted. The parties intend that the remaining provisions continue to apply and give effect to the mutual intentions of the parties as closely as possible in economic terms.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and High Stitch regarding the Service and supersede all prior agreements, representations, and understandings.
17.2 Amendments
High Stitch reserves the right to amend these Terms at any time. We will provide notice of material changes by posting updated Terms with a new effective date and, where practicable, by email. Your continued use of the Service after the effective date of any amendment constitutes acceptance of the revised Terms.
17.3 No Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party’s rights to enforce that or any other provision in the future.
17.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without High Stitch’s prior written consent. High Stitch may assign these Terms without restriction in connection with a merger, acquisition, or sale of substantially all of its assets. Any purported assignment in violation of this Section is void.
17.5 Force Majeure
Neither party will be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, government action, natural disasters, pandemic, carrier delays, supplier or production-partner failures, equipment failure, or third-party infrastructure failures, provided the affected party gives prompt notice and uses reasonable efforts to resume performance.
